EAGLE888 AI HUMAN — TERMS AND CONDITIONS OF SERVICE

1. DEFINITIONS

Term Meaning
“Provider” Eagle888 AI Human Pty Ltd (ACN 676 753 423), 40 Koola Avenue, East Killara NSW 2071, Australia.
“Subscriber” The person or corporate entity that provisions an enterprise account and subscribes to the Service.
“AI Human” An autonomous, virtual, software-based contracted workforce instance provisioned and hosted by the Provider.
“Service” The integrated AI Human cloud infrastructure platform, including dedicated data storage, localized processing environments, and structural interface options.
“Subscription Tier” The operational capability level selected by the Subscriber (ranging from Tier 1 up to Tier 4) as outlined in the active schedule.
“Onboarding Period” The initial 60-day trial evaluation phase triggered upon the activation of a new AI Human instance.
“Reporting Manager” The designated, authorized real human supervisor assigned by the Subscriber to oversee, review, and validate AI Human operations.
“AI Backbone” Third-party enterprise algorithmic models and large language engines accessed programmatically by the AI Human instance.
“Desk” The isolated, persistent digital cloud workspace allocated natively to a specific AI Human instance.
“Hot Desk” The shared cloud data folder partition accessible across a Subscriber’s entire digital workforce matrix.
“Specialist Folder” The specific, role-aligned work product directory allocated to an AI Human configuration.
“Deliverable” Any background output, computational calculation, data compilation, or communication asset synthesized by the AI Human.
“Overflow Folder” An optional, secure network directory on the Subscriber’s own records system for receiving finished Deliverables.

2. SUBSCRIPTION AND ACCOUNT INTEGRITY

2.1 Provisioning Protocols: Subscribers may provision an account via verified third-party authentication tokens or enterprise corporate email validation.

2.2 Information Veracity: The Subscriber must provide accurate, current, and complete corporate identity information during onboarding and maintain the currency of these operational records.

2.3 Credential Security: The Subscriber maintains sole responsibility for safeguarding account access credentials and for all activities, operations, or configurations executed under their account.

2.4 Multi-Tenant Restrictions: Only one enterprise account is permitted per distinct legal entity. Sharing subscriptions or pooling instances across unrelated commercial organizations is strictly prohibited.

2.5 Legal Capacity: The individual registering the corporate subscription warrants that they are at least 18 years of age and possess the necessary statutory executive authority to bind the Subscriber to this agreement.

3. PAYMENT, SUBSCRIPTION ARCHITECTURE, AND DYNAMIC SCALING

3.1 Tiered Subscription Matrix: Digital workforce capability is structured into four functional tiers (Tier 1: Officer Level, Tier 2: Manager Level, Tier 3: Senior Manager, and Tier 4: Director Level). Subscription options are subject to recurring monthly or annual usage fees as published from time to time in the dynamic Pricing Schedule.

3.2 Payment Logistics: Fees are denominated in Australian Dollars (AUD), inclusive of GST where applicable, and are debited automatically on the same calendar date of each billing cycle via the Subscriber’s active billing method (including authorized third-party processing tools, corporate credit/debit instruments, or authorized direct debit channels).

3.3 Non-Refundability: All subscription allocations, processing fees, and deployment costs are entirely non-refundable, except to the extent mandatory recovery is required under applicable jurisdiction consumer protection laws.

3.4 Lifecycle Continuum: Upon cancellation of a subscription, service access remains active until the final expiration of the current paid billing window. No prorated credits or refunds will be issued for unutilized processing days within an active cycle.

3.5 Frictionless Tier Interchange: Subscribers retain the absolute right to upgrade or downgrade their digital workforce configurations at any time to match changing business requirements.

  • Upgrades: Modifications to a higher capability tier take effect immediately. The system calculates a prorated cost adjustment for the remaining duration of the active billing cycle.
  • Downgrades: Adjustments to a lower capability tier take effect at the initialization of the next billing cycle. Processing boundaries and software features exceeding the parameters of the lower tier will be systematically modified at that time.

3.6 Metered Credits and Bulk Buffers: Tiers include a dedicated monthly processing credit volume and a 10% complimentary credit buffer to absorb operational volatility. Temporary spikes in data or workflow requirements are managed via additional credits, which are dynamically discounted based on bulk usage criteria.

3.7 Payment Remediation: If a recurring payment transaction fails, the platform executes secondary collection attempts in alignment with bank protocols. Unresolved collection failures will trigger immediate service suspension and potential account termination.

4. SERVICE ARCHITECTURE AND DEPLOYMENT

4.1 Cloud Infrastructure: The Provider operates and hosts the AI Human ecosystem within localized enterprise cloud network centers.

4.2 Digital Workplace Allocations: Each provisioned instance receives a dedicated cloud Desk, a unique corporate email address, a core folder, and a role-specific Specialist Folder.

4.3 No-Software Footprint: AI Humans interface with the Subscriber’s organization via secure email protocols and encrypted shared cloud directories. No localized executable software or permanent background applications are installed on the Subscriber’s physical computers or internal networks.

4.4 Operating Allocations: AI Human instances remain technically active continuously, executing workflows based on the operational hours and Business Hours parameters configured by the Subscriber.

4.5 Algorithmic Backbone Selection: The deep-learning models, specialized domain data engines, and algorithmic processing sets allocated to an instance are determined dynamically by the active Subscription Tier. Storage ceilings are constrained to the specifications published in the current tier matrix. The platform triggers automated notifications when data space consumption crosses 80% and 95% thresholds.

5. DATA SOVEREIGNTY AND ENTERPRISE STORAGE

5.1 Absolute Ownership: All source materials, corporate records, and context datasets uploaded by the Subscriber, alongside all finished Deliverables synthesized by the AI Human instance, remain the exclusive intellectual property of the Subscriber.

5.2 Logical Data Segmentation: All Subscriber information is kept strictly within the Provider’s cloud core and is logically isolated from other database clusters to prevent multi-tenant data contamination.

5.3 Model Training Restrictions: The Provider explicitly guarantees that Subscriber intellectual property, corporate records, and communication histories will never be used to train public algorithmic models or shared base models for other clients.

5.4 Redundant Backups: Geographical data backups and disaster recovery protocols are maintained under strict encryption at rest.

5.5 Post-Termination Continuity Folder: The Subscriber may configure an optional archive folder inside their own local records management infrastructure. The AI Human will continuously save its output data directly to this location. Upon subscription termination, the AI Human’s network access to this directory is automatically and instantly suspended, leaving the data permanently available to the Subscriber.

6. SECURITY AND DATA PROTECTION PRIVILEGES

6.1 Encryption Hardening: The Provider encrypts 100% of network data in transit using TLS 1.3 protocols and all database storage blocks at rest using AES-256 standard encryption keys.

6.2 System Defense Matrices: The platform enforces zero-trust architecture, immutable activity logging, prompt-injection countermeasures, automated Personally Identifiable Information (PII) masking, and continuous compliance scanning.

6.3 Independent Compliance Auditing: The platform aligns operations with the Australian Privacy Act 1988, GDPR frameworks, and maintains verified SOC 2 controls, audited via annual penetration testing and quarterly validation reviews.

6.4 Absolute CyberSecurity Warranty Disclaimer: Although system architectures are designed strictly for comprehensive cybersecurity protection and are updated regularly to integrate the latest security defenses, no warranty, representation, or guarantee of any kind is accepted for any loss of any kind or nature, immediate and subsequent, resulting from a breach of cybersecurity systems, data interception, or unauthorized operational penetration.

6A. MANDATORY HUMAN OVERSIGHT AND OPERATIONAL LIMITATIONS

6A.1 Structural Fallibility Acknowledgment: The Subscriber explicitly recognizes that an AI Human is an artificial intelligence system that may make mistakes and may generate outputs, documents, or data arrays that are inaccurate, incomplete, or flawed.

6A.2 Decision-Support Constraint: All synthesized Deliverables are provided strictly for decision-support and informational optimization purposes. They do not constitute formal, licensed, or regulated legal, financial, tax, or engineering advice.

6A.3 Mandatory Real-Human Validation Queue: The Subscriber must assign a physical real human Reporting Manager to each active AI Human instance. All outbound communications, client-facing responses, public-facing document transfers, and business-critical operations must be reviewed and physically approved by that Reporting Manager prior to distribution or execution.

6A.4 No Liability Indemnification Accepted

The Provider accepts no liability and does not indemnify the Subscriber for immediate and subsequent financial damages, loss of profits, legal costs, court fees, compliance breaches, regulatory fines, or operational errors resulting from the mistakes of the subscribed AI Human on AI-generated deliverables, outcomes, communications, or workflows. The entire risk of deployment, execution, and reliance on the Service rests solely with the Subscriber.

6B. VIRTUAL WORKER STATUS AND RISK ALLOCATION

6B.1 Legal Status: An AI Human is a virtual, software-constructed autonomous worker configuration operated via cloud protocols. It does not possess natural personhood and does not establish an employment relationship, statutory worker status, or direct executive agency with the Subscriber under global labor laws.

6B.2 Corporate Insurance Treatment: For corporate risk distribution purposes, the parties agree that when an AI Human executes processes under the direction of the Subscriber, its operations will be treated exactly like those of Information Technology and SaaS systems deployed by the subscriber company. The work product must fall under the protection umbrella of the Subscriber’s corporate insurance coverage.

6B.3 Mandatory Insurance Maintenance: The Subscriber warrants that they will maintain active Public Liability and Professional Indemnity (or Errors & Omissions) insurance policies throughout the subscription lifecycle, ensuring coverage extends to claims relating to the utilization of automated decision-support outputs.

7. INTELLECTUAL PROPERTY RESTRAINTS

7.1 System Architecture Sovereignty: The underlying software architecture, prompt matrices, proprietary algorithms, interface designs, and deployment models remain the exclusive intellectual property of the Provider.

7.2 Operational Usage License: The Provider grants the Subscriber a non-exclusive, non-transferable, terminable license to utilize the Service for core commercial operations during an active, fully paid subscription term.

8. ACCEPTABLE USE PARAMETERS

8.1 Prohibited Conduct: The Service must not be utilized to construct competitive autonomous workflow products, generate defamatory or illegal communications, execute reverse-engineering protocols, or bypass security validation systems. The Provider reserves the right to suspend any account immediately if an acceptable use violation is detected.

9. TERMINATION, DATA RETRIEVAL, AND DESTRUCTION PROVISIONS

9.1 Lifecycle Termination: A Subscriber can request service un-subscription at any point via the central customer account panel.

9.2 Deactivation & Purging: Cancellation takes full effect upon the concluding day of the active paid billing window. The Subscriber retains system data extraction rights up until this boundary date.

9.3 Certified Data Destruction: Upon the conclusion of the subscription wrap-up window, the Provider permanently deactivates the AI Human instance, deletes its cloud Desk, and purges all residual database files. An automated Data Destruction Certificate is logged to the immutable audit trail to verify complete system removal.

We operate under a strict architecture of openness and data isolation, ensuring compliance with the Australian Privacy Principles (APPs) and international data governance benchmarks. This Privacy Policy dictates how our cloud platform handles personal and corporate data arrays belonging to Subscribers, internal personnel, and third parties.

2. CORE DATA ARRAYS HANDLED BY THE SERVICE

To support scalable, tiered enterprise operations, the platform isolates the following datasets:

  • Account Registration Profiles: Verified corporate names, contact telephone links, enterprise email paths, job titles, and authorized business identifiers.
  • Billing & Financial Metadata: Corporate billing addresses and transactional records. Note: Full financial instrument numbers are completely processed via secure, PCI-DSS compliant third-party payment gateways and are never captured or stored on our infrastructure.
  • Onboarding Knowledge Repositories: Internal organizational directories, operational manuals, past correspondence histories, product catalogs, and accounting structure layouts uploaded by the Subscriber to initialize the AI Human’s native intelligence.
  • Workflow Integration Logs: System metrics, input telemetry, interaction timestamps, security audit lines, and interface logs.
  • Confidential Human-to-AI Communications: Prompt tracking records, direct task instruction chains, and technical performance corrections executed between the instance and authorized real human personnel.
  • Third-Party Customer Intelligence: Client records or internal record fields contained within ledger streams or files that are processed under the instruction of the Subscriber.

3. PROTOCOLS FOR DATA CAPTURE

3.1 Direct Capture: Information is securely transmitted when an authorized administrator establishes an enterprise profile, inputs onboarding guidelines, or provides direct operational tasks to an instance.

3.2 Automated System Telemetry: Basic performance analytics, connection parameters, and transaction validation tokens are generated automatically to track service stability and maintain system health.

3.3 Unsolicited Data Mitigation: If our infrastructure intercepts personal data fields that were not intentionally requested or required for operational initialization, the system actively purges or de-identifies the records as soon as practicable.

4. CORE DATA USE CASES AND PROCESSING LIMITS

We handle corporate and personal records strictly for specific primary operational use cases:

  • Provisioning, operating, and ensuring the stability of the cloud-hosted AI Human environment.
  • Ingesting specialized company context to ground the digital worker within the Subscriber’s specific market rules.
  • Validating transaction tracking, processing subscription tier transitions, and maintaining billing integrity.
  • Monitoring core performance telemetry to block security attacks, prompt-injection exploits, or unauthorized access attempts.
  • Generating localized, isolated machine learning updates to resolve processing errors and enhance task accuracy.

Our Non-Commercialization Guarantee: Eagle888 does not engage in, sell, or license subscriber details, corporate records, or processed communications to third-party marketing networks or external advertising bureaus.

5. CONTROLS FOR THIRD-PARTY DATA DISCLOSURE

Data fields are programmatically transmitted only to specific categories of enterprise infrastructure providers:

  • AI Backbone Providers: Prompts requiring calculation are transmitted via secure APIs to enterprise large language providers. These pipelines enforce strict stateless processing terms, contractually preventing these entities from storing or using your data to train their models.
  • Secure Infrastructure Clusters: Core data isolation partitions are hosted within premium, geographically redundant cloud data centers.
  • Absolute Cybersecurity Warranty Disclaimer: While our cloud environments are integrated with modern cybersecurity protection layers and updated continuously, no warranty is accepted for any loss of any kind or nature, immediate and subsequent, resulting from a breach of our cybersecurity systems or third-party cloud infrastructure.
  • Authorized Compliance Demands: Information will only be disclosed to regulatory authorities or judicial bodies if explicitly compelled by a valid, enforceable court order or statutory Australian law.

6. REGIONAL ARCHITECTURE AND GLOBAL DATA TRANSFERS

6.1 Local Data Sovereignty: To ensure structural compliance, primary data storage arrays remain anchored within localized enterprise cloud regions.

6.2 Cross-Border Protection Clauses: Where processing workflows touch global cloud nodes, the Provider maintains rigorous standard contractual protections. This includes API stateless execution tokens, active in-transit encryption layers, and automated session timeouts to ensure no data leaks outside your account boundaries.

7. DATA RETENTION LIFECYCLE AND AUTOMATED PURGING

7.1 Active Lifecycles: Personal and corporate onboarding data sets remain actively maintained within your isolated directory throughout the life of the subscription.

7.2 Trial Cancellation Purges: If an account is canceled during the 60-day onboarding period, all associated specialized databases, training documentation, and communication logs are automatically deleted immediately.

7.3 Post-Onboarding Deactivations: For subscriptions canceled after the trial window, the platform maintains an offline 30-day retrieval window during which the Subscriber can export their data. On day 31, all operational data is wiped from the servers and an automated destruction log entry is generated.

8. USER PRIVACY AND SYSTEM COMPLIANCE ASSURANCE

8.1 Access & Rectification: Authorized administrators can audit, correct, or request the deletion of account records by connecting directly with our Privacy Desk at support.ai@eagle888.co.

8.2 Breach Notification Response: In strict alignment with the Notifiable Data Breaches (NDB) scheme under the Privacy Act, the Provider will immediately notify affected clients and appropriate regulatory offices within 72 hours if a security event occurs.
